1. Introduction
Welcome to the Terms of Service (these “Terms”) for ZoeMD, a subsidiary of Dorascribe Inc. (“Company,” “we,” or “us”), whose head office is located at 4145 North Service Road, Burlington, Ontario, L7L 4X6, Canada.
These Terms apply to our website www.zoemed.ai (the “Website”), the ZoeMD artificial intelligence–powered services (the “ZoeMD Engine”), related mobile applications (the “App”), and any content, tools, features, and functionality offered on or through the Website, ZoeMD Engine, and App (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
2. Definitions and Legal Framework
(a) you are authorized to bind that entity, and
(b) you agree to these Terms on behalf of the entity.
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, subject to Section 14 (Dispute Resolution and Arbitration).
3. The Services
3.1 Input and Output
As part of the Services, you may input, upload, or submit information (“Input”) into the ZoeMD Engine, which will use artificial intelligence tools to generate responses (“Output”).
3.2 Eligibility and User Categories
You must be 13 years of age or older to use the Services.
By using the Services, you represent and warrant that you are accessing the Services as one of the following:
You agree not to access or use features that are not intended for your user category.
3.3 De-Identification of Uploaded Content (Healthcare Provider Users Only)
This Section applies only to Healthcare Provider Users.
Healthcare Provider Users acknowledge and agree that ZoeMD is not intended to receive, process, or store identifiable patient information.
All images, text, and other content uploaded by Healthcare Provider Users must be fully de-identified prior to upload and must not include personal health information (“PHI”) or personally identifiable information (“PII”), whether directly or indirectly, including but not limited to patient names, dates of birth, medical record numbers, facial images, biometric identifiers, or contact details.
Healthcare Provider Users are solely responsible for ensuring compliance with all applicable privacy and data protection laws. ZoeMD does not de-identify content on behalf of Healthcare Provider Users and does not act as a health information custodian, data controller, or data processor with respect to such content.
ZoeMD reserves the right to suspend or terminate access for violations of this Section.
3.4 Intended Use
ZoeMD offers both provider-facing and patient-facing features.
4. User Accounts, Subscriptions, and Free Trials
4.1 Account Creation and Security
You may need to create an account (“Account”) to use certain Services.
1. You must provide accurate, complete, and updated information.
2. You are solely responsible for maintaining the confidentiality of your password and for all activity on your Account.
3. Notify us immediately at help@zoemed.ai if you suspect unauthorized use or a security breach.
You may not create an Account if you were previously banned or removed from the Services unless you have written permission from us.
4.2 Paid Services and Billing
Certain Services are free; others require a paid subscription.
1. By subscribing, you agree to pay the applicable fees and taxes.
2. Failure to pay may result in termination of access.
3. Subscription prices may change with reasonable notice.
4.3 Automatic Renewals and Cancellation
Subscriptions automatically renew unless cancelled before the renewal date. You can cancel anytime via your Account or by contacting help@zoemed.ai.
4.4 Refund Policy
Except as required by Canadian law, all payments are nonrefundable. After cancellation, you retain access until the end of the current billing period
5. Orders for Products and Services
When purchasing any products or services (“Offerings”):
1. You must provide accurate payment and billing information.
2. You confirm that you have the legal right to use your payment method.
3. All transactions are subject to Canadian laws and regulations.
Users may not provide personal information of anyone under 13 for delivery or any other purpose.
6. Privacy Policy
Your use of the Services is subject to the ZoeMD Privacy Policy, which forms part of these Terms.
7. Rights We Grant You
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
You are responsible for your own device, internet connection, and data fees.
8. Ownership and Content
ZoeMD, Dorascribe Inc., and/or their licensors retain all rights, title, and interest in and to the Services, including all intellectual property rights.
8.1 Your Content
By using the Services and uploading Your Content, you grant us a royalty-free, transferable, sublicensable, worldwide, irrevocable license to use, store, and process Your Content to operate and improve the Services.
9. Notice of Infringement – Canadian Copyright Policy
If you believe that material on our Services infringes your copyright, please notify us at help@zoemed.aior by mail:

We may disable or terminate accounts that repeatedly infringe intellectual property rights.
10. Third-Party Services and Materials
Our Services may include links or access to third-party content (“Third-Party Materials”). We are not responsible or liable for third-party content, services, or their accuracy.
11. Medical Disclaimers
11.1 Healthcare Provider Users
ZoeMD is an assistive, evidence-based clinical decision support tool intended to augment, not replace, the independent professional judgment of qualified healthcare providers.
All clinical assessments, diagnoses, treatment decisions, and patient care actions remain the sole and exclusive responsibility of the Healthcare Provider User. ZoeMD does not provide medical advice, diagnosis, or treatment.
11.2 Patient Users
When accessed by Patient Users, the Services are provided for informational and educational purposes only and do not constitute medical advice, diagnosis, treatment, or prescription.
Patient Users must not rely on the Services as a substitute for professional medical care and should consult a qualified healthcare professional for any medical concerns.
12. Limitation of Liability
Your access to and use of the Services are at your own risk. The Services are provided “AS IS” and “AS AVAILABLE.”
To the maximum extent permitted by applicable Canadian law, ZoeMD, Dorascribe Inc., and their respective affiliates, licensors, and service providers disclaim all warranties and conditions of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.
ZoeMD and Dorascribe Inc. make no representations or warranties that the Services or any information provided therein will be accurate, complete, reliable, error-free, uninterrupted, secure, or free of viruses or other harmful components.
To the fullest extent permitted by law, ZoeMD and Dorascribe Inc. shall not be liable for any indirect, incidental, consequential, exemplary, or special damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of or reliance on the Services.
In no event shall the total aggregate liability of ZoeMD, Dorascribe Inc., and their affiliates exceed the greater of one hundred Canadian dollars (CAD $100) or the total amount paid by you to Dorascribe Inc. in the six (6) months immediately preceding the event giving rise to such claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless ZoeMD, Dorascribe Inc., and their respective affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
(a) your violation of these Terms;
(b) your misuse of the Services or reliance on any outputs without appropriate professional verification; or
(c) your infringement or violation of any third-party rights, including intellectual property rights, arising from your use of the Services or submission of content.
14. Dispute Resolution and Arbitration
This Section applies to Healthcare Provider Users and other non-consumer users to the maximum extent permitted by applicable law.
Nothing in this Section limits any non-waivable rights available to Patient Users under applicable consumer protection legislation.
15. Additional Provisions
15.1 Suspension and Termination
ZoeMD reserves the right, in its sole discretion, to suspend or terminate your access to all or any part of the Services at any time if your use of the Services poses, or may pose, a legal, regulatory, security, safety, or operational risk, or if you violate these Terms.
15.2 No Partnership or Agency
Nothing in these Terms shall be deemed to create any partnership, joint venture, agency, fiduciary, employment, or healthcare provider–patient relationship between you and ZoeMD.
15.3 Assignment
ZoeMD may assign or transfer these Terms, in whole or in part, without restriction or notice, including in connection with a merger, acquisition, corporate reorganization, sale of assets, or financing transaction. You may not assign these Terms without ZoeMD’s prior written consent.
15.4 Force Majeure
ZoeMD shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, power or internet outages, or failures of third-party infrastructure or services.
15.5 Survival
Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to provisions relating to intellectual property, medical disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and jurisdiction.
15.6 Updates to These Terms
ZoeMD may modify or update these Terms from time to time. Updated versions will be posted on the Website, and continued access to or use of the Services after such updates constitutes acceptance of the revised Terms.
